These Terms & Conditions (“Terms”) govern your use of the IT Traders website at https://ittraders.in/ (the “Website”) and the supply of products and services by IT Traders, Pune, India (“IT Traders”, “we”, “us” or “our”). By using the Website, requesting a quotation, placing an order or engaging our services you agree to these Terms. Please read them carefully together with our Privacy Policy.
About our services
IT Traders is a one-stop IT solutions platform. We supply and support IT hardware (firewalls, servers, storage, networking, CCTV and surveillance, laptops and desktops), software and cloud (Microsoft 365, email security, EDR/XDR, disaster recovery, cloud migration), IT projects (end-to-end infrastructure, cybersecurity, SOC/NOC, managed Wi-Fi, AV and VoIP, AMC contracts) and laptop and desktop rentals, working with more than 80 OEM brands. Product availability, specifications and OEM programmes change over time; the Website describes our offering in general terms and does not itself constitute an offer.
Quotations and pricing
- Quotations are prepared on the basis of the requirement you share with us and remain valid for the period stated on the quotation, or for 7 days where no period is stated.
- Prices are quoted in Indian Rupees and exclude GST and other applicable taxes, duties, freight, installation and insurance unless the quotation says otherwise.
- Quoted prices depend on OEM and distributor pricing, exchange rates and stock availability, all of which may change before an order is confirmed. We will inform you of any change before accepting your order.
- Where a quotation contains an obvious error, we reserve the right to correct it and issue a revised quotation.
- Savings figures shown on the Website (for example “optimise IT cost by up to 60%”) are indicative of results achieved for some customers and are not a guarantee for any particular requirement.
Orders, payment and delivery
- An order is confirmed only when we accept your purchase order or written confirmation in writing, or when we issue a proforma invoice and receive the advance stated on it.
- Unless otherwise agreed in writing, payment terms are as stated on the invoice. We may charge interest at 18% per annum on overdue amounts and suspend deliveries or services while any amount is overdue.
- Delivery dates are estimates based on OEM and distributor lead times and are given in good faith. We are not liable for delays outside our reasonable control.
- Deliveries are made across India through our logistics partners. Risk in the goods passes to you on delivery; title passes when we have received payment in full.
- Please inspect goods on delivery and notify us within 48 hours of any shortage or visible damage, keeping the packaging and the delivery note.
Warranty and support
- Hardware and software are supplied with the manufacturer’s (OEM’s) standard warranty. Warranty claims are handled under the OEM’s terms; IT Traders assists you with registration and claims but does not extend the OEM warranty unless a separate warranty or AMC agreement is signed.
- Support levels, response times, uptime commitments and service windows for AMC, managed services and SOC/NOC engagements are those set out in the signed service agreement or statement of work for that engagement. Figures such as “99.5% SLA uptime” on the Website describe the commitments typically available and apply only once agreed in writing.
- Warranty does not cover damage caused by misuse, accident, unauthorised modification, power problems, environmental conditions or use with products not approved by the OEM.
Returns and cancellations
- Software licences, subscriptions, cloud services and activation keys cannot be cancelled or refunded once issued or activated, except where the OEM allows it.
- Hardware that is dead on arrival is replaced or repaired under the OEM’s DOA policy, provided you notify us within the OEM’s stated period.
- Products specially procured, configured or imported for your order cannot be returned. Other returns are accepted at our discretion, in original unopened packaging, and may attract a restocking charge.
- If you cancel a confirmed order we may charge the costs we have incurred, including non-returnable stock, OEM cancellation fees and engineering time already spent.
Rental equipment
Laptops, desktops and other equipment supplied on rental remain the property of IT Traders at all times. You agree to use the equipment with reasonable care, keep it insured against loss and damage, not to remove or alter asset tags, software or configurations, and to return it at the end of the rental period in the condition supplied, fair wear and tear excepted. Loss, theft or damage beyond fair wear and tear is chargeable at the equipment’s replacement value or repair cost. Rental charges continue until the equipment is returned.
Use of the website
You may use the Website for lawful purposes only. You agree not to:
- submit false, misleading or automated enquiries, or use another person’s details without permission;
- attempt to gain unauthorised access to the Website, its forms, its hosting or any connected system;
- copy, scrape, frame or mirror the Website or its content, or use it to build a competing database or offering;
- upload or transmit malware, spam or any material that is unlawful, defamatory or infringing.
We may suspend or restrict access to the Website, without notice, where we reasonably believe these Terms have been breached.
Intellectual property
The Website, including its text, design, graphics, photographs, videos, logos and code, is owned by or licensed to IT Traders and is protected by Indian and international intellectual property laws. You may view and print pages for your own business evaluation but may not otherwise reproduce, distribute or exploit any part of it without our written permission. OEM names and logos shown on the Website (for example Fortinet, Cisco, Microsoft, Dell, HP, Lenovo and others) are trademarks of their respective owners and are used to identify the products we supply; their appearance does not imply endorsement of IT Traders.
Third-party services and links
The Website uses third-party services, including Calendly for consultation bookings, WhatsApp for chat, Google Maps for our office location and analytics tools. Those services are governed by their providers’ own terms and privacy policies. Links to OEM, partner and social media sites are provided for convenience; we do not control and are not responsible for their content.
Limitation of liability
To the fullest extent permitted by law, IT Traders shall not be liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, business or goodwill, arising out of or in connection with the Website, our products or our services, whether in contract, tort (including negligence) or otherwise, even if advised of the possibility of such loss. Our total liability for any order or engagement shall not exceed the amount paid to us under that order or engagement. Nothing in these Terms limits liability that cannot be limited under Indian law.
Indemnity
You agree to indemnify IT Traders, its directors, employees and partners against all claims, losses, damages and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website or the products, or your infringement of any third-party right.
Confidentiality
Each party shall keep confidential the other’s non-public technical, commercial and pricing information received in connection with a quotation, order or engagement, and use it only for that purpose. This obligation survives the end of our relationship for three years, and does not apply to information that is public, already known to the receiving party, independently developed or required to be disclosed by law.
Force majeure
Neither party is liable for failure or delay in performing its obligations (other than payment) caused by events beyond its reasonable control, including OEM or distributor supply failures, transport disruption, strikes, epidemics, natural disasters, government action, power or internet failures and cyber-attacks. The affected party shall notify the other and resume performance as soon as reasonably possible.
Governing law and jurisdiction
These Terms, and any dispute arising out of or in connection with them or the Website, are governed by the laws of India. The courts at Pune, Maharashtra shall have exclusive jurisdiction, subject to any arbitration or dispute-resolution clause agreed in a signed contract for a specific engagement.
Changes to these terms
We may revise these Terms from time to time. The version published on the Website at the time you place an order or use a service applies to that order or use. The “Last updated” date at the top of this page shows when the current version took effect.
